Definitions

• "Application" means the e-procurement application provided by Irembo.
• "User" means any individual or organization that uses the Application.
• "Vendor" means any individual or organization that provides goods or services to Users through the Application.
• "Company" (Irembo Limited) refers to the legal entity or organization that owns and operates the e-procurement application. The Company may also be referred to as "we," "us," or "our" throughout this Agreement.

Acceptance of Terms

• By using the Application, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions set forth in this Agreement.
• The Company may modify this Agreement at any time without prior notice. Your continued use of the Application after such modifications will constitute your acceptance of the updated terms.
• The Company may reject some or all bids submitted for a tender at its discretion without any explanations.

Access to the Application

Access to the Application is subject to the following:

• You must have a valid user account.
• You must agree to these terms and conditions.
• You must use the Application in accordance with its intended purpose.

User Accounts

• You are responsible for maintaining the confidentiality of your account credentials, and you agree to accept responsibility for all activities that occur under your account.
• You must provide accurate and complete information during the registration process and promptly update any changes.

Use of the Application

• The Application is intended for lawful purposes only. You agree not to use the Application for any illegal, harmful, or unauthorized activities.
• You must not attempt to interfere with the proper functioning of the Application or access any unauthorized areas.
• The Company may suspend or terminate your access to the Application without notice if you violate any provision of this Agreement.

Intellectual Property Rights

• The Application and all its content, including but not limited to text, graphics, logos, and software, are the intellectual property of the Company or its licensors.
• You agree not to reproduce, modify, distribute, or create derivative works based on the Application without the Company's prior written consent.

Privacy and Data Security

• The Company may collect and process personal data provided by users during the registration process or while using the e-procurement application.
• The personal data collected may include, but is not limited to:
  • Your name, email address, and contact information
  • Your bid information (if you respond to a tender)
  • Your payment information (if you are requesting for a payment)
• We may also collect information about your device, such as your IP address, browser type, and operating system.
• We use the personal information we collect for the following purposes:
  • Providing access to and improving the functionality of the e-procurement application.
  • Facilitating communication and support related to the use of the application.
  • Processing transactions and payments.
  • Enforcing applicable terms and conditions and protecting the rights and safety of users and the Company.
• The Company will not sell, rent, or lease personal data to third parties, unless explicitly authorized by the user or required by law.
• The Company implements reasonable security measures to protect personal data from unauthorized access, disclosure, alteration, or destruction.
• However, no method of data transmission or storage is completely secure, and the Company cannot guarantee the absolute security of personal data. Users are responsible for maintaining the security of their login credentials and devices, including protection against viruses, malware, or other malicious software.

Limitation of Liability

• The Application is provided on an "as-is" basis without any warranties, express or implied.
• The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Application, including but not limited to lost profits or data.

Indemnification

• You agree to indemnify and hold harmless the Company, its officers, directors, employees, and affiliates from any claims, losses, damages, liabilities, or expenses arising out of your use of the Application or violation of this Agreement.

Termination

• This Agreement will remain in effect until terminated by either party.
• The Company may terminate your access to the Application at any time without notice.
• Upon termination, your access to the Application will be disabled, and any provisions of this Agreement that should reasonably survive termination will remain in effect.

Governing Law and Jurisdiction

• This Agreement shall be governed by and construed in accordance with the laws of Rwanda.
• Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Rwanda.

Entire Agreement

• This Agreement constitutes the entire agreement between you and the Company regarding the use of the Application and supersedes any prior agreements or understandings.
